OVERVIEW

Welcome to Team Backpack.

The terms “Team Backpack,” “we,” “us,” and “our” refer to Team Backpack. We operate this website, online marketplace, and related information, content, features, tools, products, vendor programs, affiliate programs, livestream shopping experiences, and services collectively referred to as the “Services.”

Team Backpack is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services.

These Terms of Service, together with any policies or additional terms referenced in them, describe your rights and responsibilities when accessing or using the Services.

Please read these Terms carefully. They contain important information concerning product purchases, third-party vendors, fulfillment, returns, intellectual property, warranty disclaimers, and limitations of liability.

By visiting, accessing, registering for, purchasing from, submitting content to, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

SECTION 1 — ELIGIBILITY, ACCESS, AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence. If you permit a minor dependent to use the Services, you accept responsibility for their use.

You may be required to provide information such as your name, email address, phone number, billing information, payment information, shipping address, business information, or other account information.

You represent that all information you provide is accurate, current, complete, and lawfully provided.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account. You may not sell, transfer, assign, or license your account to another person without our written permission.

We may suspend, restrict, or terminate an account if we reasonably believe it is being used fraudulently, unlawfully, deceptively, or in violation of these Terms.

SECTION 2 — TEAM BACKPACK’S MARKETPLACE MODEL

Team Backpack operates a marketplace that may feature products supplied by independent businesses, brands, stores, creators, and other third-party vendors.

Unless a product listing or checkout expressly identifies another seller, purchases completed through the Team Backpack storefront are processed through Team Backpack. However, individual products may be stored, packaged, shipped, fulfilled, serviced, inspected, or received for return by an independent vendor.

Vendors are independent businesses and are not employees, agents, partners, joint venturers, or legal representatives of Team Backpack solely because they list or fulfill products through the Services.

Team Backpack may coordinate communication, customer service, payment processing, returns, and order-related issues between customers and vendors. The applicable vendor may remain responsible for inventory, product accuracy, packaging, shipping, fulfillment, regulatory compliance, warranties, and receiving approved returns.

We may approve, reject, suspend, or remove a vendor, product, listing, or offer at our discretion.

SECTION 3 — PRODUCTS AND PRODUCT LISTINGS

We and our vendors make reasonable efforts to display products, descriptions, prices, photographs, videos, colors, sizes, availability, and other details accurately.

However, colors, dimensions, appearance, packaging, and other details may appear differently depending on your device, screen settings, manufacturer changes, or product variations.

We do not guarantee that every product will appear exactly as displayed or that every description will be free from error.

Product descriptions, prices, inventory, availability, promotions, and specifications may be changed at any time without notice.

We reserve the right to:

  • Limit product quantities;
  • Restrict sales to particular people or locations;
  • Correct listing errors;
  • Remove or discontinue products;
  • Reject listings that violate our standards;
  • Cancel orders affected by inaccurate pricing, inventory, or product information.

Products may be subject to separate manufacturer or vendor warranties. Unless expressly stated, Team Backpack does not provide an additional product warranty beyond rights that cannot legally be excluded.

SECTION 4 — ORDERS

When you submit an order, you are making an offer to purchase the products in your cart.

An automated confirmation does not necessarily mean that your order has been finally accepted. We may review, accept, reject, modify, or cancel an order for reasons including:

  • Product unavailability;
  • Incorrect pricing or descriptions;
  • Suspected fraud;
  • Payment problems;
  • Shipping restrictions;
  • Vendor inability to fulfill the order;
  • Violation of these Terms;
  • Legal or regulatory restrictions.

Payment must be authorized and processed before an order is accepted and fulfilled.

Please review your order carefully before submitting it. We cannot guarantee that an order can be changed or canceled after it has been submitted to a vendor for fulfillment.

If an order is rejected or canceled after payment has been collected, we will issue an appropriate refund to the original payment method.

Purchases are subject to our Return and Refund Policy.

SECTION 5 — PRICES, PAYMENTS, AND BILLING

Prices, discounts, commissions, promotions, and product availability are subject to change without notice.

The price charged will generally be the price shown at checkout when the order is placed. Unless expressly stated otherwise, displayed prices may not include shipping, taxes, duties, customs charges, handling charges, or other applicable fees.

You agree to provide complete and accurate billing, payment, shipping, and account information.

You represent that:

  1. You are authorized to use the payment method provided;
  2. The payment information is accurate;
  3. Charges submitted through that payment method will be honored;
  4. You are responsible for the purchase price and all applicable fees and taxes.

Prices on Team Backpack may differ from prices offered by the same vendor in a physical store, on another website, during a livestream, or through another sales platform.

Promotional offers may be governed by separate terms. If separate promotional terms conflict with these Terms, the promotional terms will control for that promotion.

SECTION 6 — SHIPPING AND VENDOR FULFILLMENT

Products may be shipped directly by the independent vendor responsible for the product.

Shipping methods, carriers, processing times, packaging, and delivery estimates may vary by product and vendor. Orders containing products from multiple vendors may arrive in separate packages and at different times.

Delivery dates are estimates unless expressly guaranteed in writing.

Team Backpack and its vendors are not responsible for delays caused by circumstances outside reasonable control, including carrier delays, weather, natural disasters, customs processing, labor interruptions, incorrect addresses, transportation disruptions, or government action.

Customers are responsible for providing a complete and accurate shipping address. Additional costs caused by an incorrect or incomplete address may be charged to the customer where permitted by law.

If a vendor cannot ship within the timeframe represented at checkout or in the applicable product listing, Team Backpack may contact you regarding the delay, offer an updated timeframe, cancel the affected product, or issue a refund as required by applicable law.

SECTION 7 — RETURNS, EXCHANGES, AND REFUNDS

Returns and refunds are governed by our Return and Refund Policy.

Team Backpack coordinates return requests, but approved returns will generally be sent directly to the designated return address supplied by the vendor responsible for the product.

Customers must contact Team Backpack before sending any return. Do not return a product to Team Backpack, a vendor, or any address shown on an original shipping label unless you have received return authorization and current instructions.

The applicable vendor may inspect the returned product and provide information needed to determine whether the return satisfies the Return and Refund Policy.

Team Backpack will communicate the return decision and, when approved, process the applicable refund through the original payment method.

Return eligibility may vary for customized products, personal-care items, perishables, final-sale items, hazardous materials, gift cards, hygiene-sensitive products, and other legally restricted or nonreturnable products.

Nothing in these Terms limits any consumer right that cannot legally be waived.

SECTION 8 — LIVESTREAMS, AUCTIONS, AND EVENTS

Team Backpack may promote, host, record, rebroadcast, or participate in livestream shopping events, product demonstrations, auctions, store visits, and other promotional experiences.

Some events may occur through third-party platforms such as Whatnot or social-media platforms.

Products purchased directly through a third-party platform are subject to that platform’s checkout process, terms, policies, auction rules, payment procedures, refund procedures, and dispute-resolution process.

A listing or appearance during a livestream does not guarantee that a product will remain available, that a minimum number of bids will be received, or that a particular price will be achieved.

Unless prohibited by law, livestreams and events may be recorded, edited, excerpted, reused, rebroadcast, and distributed for marketing, education, entertainment, and promotional purposes.

You may not manipulate bids, submit fraudulent bids, disrupt an event, impersonate another participant, or use automated bidding tools in violation of the applicable platform’s rules.

SECTION 9 — VENDORS

Vendors participating in Team Backpack may be required to accept a separate vendor agreement, commission agreement, marketplace policy, or app-specific terms.

A vendor represents and warrants that:

  • It has the legal authority to offer and sell its products;
  • Its products are authentic, lawful, safe, and accurately described;
  • Its images, videos, trademarks, descriptions, and other listing materials do not infringe another party’s rights;
  • It will maintain accurate pricing and inventory;
  • It will fulfill accepted orders promptly and professionally;
  • It will comply with applicable product-safety, labeling, consumer-protection, tax, advertising, shipping, and privacy requirements;
  • It will cooperate with valid returns, refunds, disputes, chargebacks, recalls, and customer-service requests;
  • It will not list counterfeit, stolen, prohibited, dangerous, fraudulent, or unlawfully marketed products.

Vendors remain responsible for the products they supply and fulfill.

Team Backpack may remove products, withhold or adjust vendor payouts, offset refunds or chargebacks, suspend accounts, or terminate vendor access when permitted by the applicable vendor agreement or required to protect customers, Team Backpack, payment providers, or the marketplace.

If separate vendor terms conflict with these general Terms, the separate vendor terms will control with respect to vendor participation.

SECTION 10 — AFFILIATES AND TEAM BACKPACK MEMBERS

Affiliates may promote eligible products through approved referral links, discount codes, social media, websites, livestreams, in-person sales, or other authorized channels.

Affiliate participation may be governed by separate affiliate-program terms, commission rules, platform terms, or campaign conditions.

Affiliates must:

  • Make truthful and supportable statements about products;
  • Clearly disclose their commission or financial relationship when required;
  • Avoid misleading endorsements or unsubstantiated claims;
  • Refrain from spam, impersonation, fraudulent orders, cookie stuffing, self-referral abuse, or deceptive advertising;
  • Follow applicable platform rules and advertising laws;
  • Use Team Backpack’s trademarks and materials only as authorized.

Commission rates, eligibility periods, attribution methods, payment thresholds, reversals, and payout schedules may vary and may be changed in accordance with the applicable affiliate-program terms.

Commissions may be denied or reversed for canceled orders, returned products, fraudulent transactions, chargebacks, policy violations, duplicate attribution, or other ineligible activity.

If separate affiliate terms conflict with these general Terms, the separate affiliate terms will control with respect to affiliate participation.

SECTION 11 — INTELLECTUAL PROPERTY

The Services and Team Backpack-created content—including our names, logos, trademarks, slogans, graphics, text, videos, photographs, audio, designs, page layouts, and original promotional materials—are owned by or licensed to Team Backpack and are protected by applicable intellectual-property laws.

You may access and use the Services for lawful, personal, and noncommercial purposes unless we provide written permission for another use.

You may not reproduce, modify, distribute, republish, publicly display, sell, scrape, download, store, transmit, or commercially exploit Team Backpack content without authorization.

Vendor trademarks, product photographs, product descriptions, and other vendor materials remain the property of the applicable vendor or rights holder.

By uploading or submitting product listings, photographs, videos, logos, descriptions, or other content to Team Backpack, a vendor grants Team Backpack a worldwide, nonexclusive, royalty-free, transferable and sublicensable license to host, reproduce, edit, format, distribute, publicly display, advertise, promote, livestream, rebroadcast, and otherwise use that content in connection with operating and marketing the Services and the vendor’s products.

The vendor represents that it has all rights necessary to grant this license.

SECTION 12 — THIRD-PARTY TOOLS AND SERVICES

We may provide access to tools, applications, integrations, payment processors, vendor portals, affiliate systems, livestream platforms, analytics providers, shipping services, and other services operated by third parties.

These services may include Shopify, marketplace applications, affiliate applications, Whatnot, email providers, social-media services, shipping carriers, payment processors, and automation tools.

Third-party tools are provided subject to their own terms and privacy policies. We do not control every aspect of those services and cannot guarantee that they will always be available, secure, accurate, or error-free.

Your use of a third-party service is at your discretion and may create a separate legal relationship between you and that provider.

SECTION 13 — THIRD-PARTY LINKS

The Services may include links to third-party websites, applications, livestreams, social-media accounts, or checkout pages.

We do not control and are not responsible for third-party content, products, security, availability, accuracy, privacy practices, or business practices.

Please review the applicable third party’s policies before providing information, participating in an event, or completing a transaction.

Questions or claims concerning a transaction completed entirely through a third-party platform may need to be directed to that platform.

SECTION 14 — RELATIONSHIP WITH SHOPIFY

Team Backpack is powered by Shopify, which enables us to provide the Services.

However, unless expressly stated otherwise, sales made through the Team Backpack store are made with Team Backpack and not with Shopify.

Shopify is not responsible for products sold through Team Backpack, vendor fulfillment, shipping, returns, injuries, losses, customer service, or disputes arising from purchases made through our store.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising directly from transactions between you and Team Backpack.

SECTION 15 — PRIVACY

Personal information collected through the Services is governed by our Privacy Policy.

Because the Services are hosted by Shopify and supported by third-party applications, information you submit may be processed by Shopify and other service providers assisting with payments, analytics, shipping, fulfillment, vendor management, marketing, fraud prevention, and customer support.

SECTION 16 — REVIEWS, FEEDBACK, AND USER CONTENT

If you submit a review, testimonial, photograph, video, comment, suggestion, idea, proposal, or other content, you grant Team Backpack a worldwide, perpetual, nonexclusive, royalty-free, transferable and sublicensable license to use, reproduce, edit, publish, distribute, display, and promote that content in any lawful medium.

You represent that:

  • You own or control the submitted content;
  • The content is truthful and reflects your honest experience;
  • Any compensation or incentive connected to the content has been properly disclosed;
  • The content does not violate another person’s privacy, intellectual-property, publicity, or other rights;
  • The content is not unlawful, defamatory, threatening, fraudulent, obscene, or malicious.

We may monitor, reject, edit, hide, or remove user content, but we are not obligated to do so.

You remain responsible for your submissions and their accuracy.

SECTION 17 — ERRORS, INACCURACIES, AND OMISSIONS

The Services may occasionally contain errors or omissions concerning descriptions, pricing, inventory, promotions, shipping charges, transit times, availability, event details, vendors, or other information.

We reserve the right to correct errors, update information, remove content, or cancel affected orders at any time, including after an order has been submitted.

If we cancel an order after collecting payment, we will issue the applicable refund.

SECTION 18 — PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services to:

  • Violate any law or regulation;
  • Sell or promote prohibited, counterfeit, stolen, unsafe, or fraudulent products;
  • Infringe intellectual-property, privacy, publicity, or other rights;
  • Submit false, deceptive, or misleading information;
  • Manipulate reviews, bids, commissions, orders, referrals, or marketplace activity;
  • Harass, threaten, abuse, defame, intimidate, or discriminate against another person;
  • Transmit malware or harmful code;
  • Collect personal information without authorization;
  • Spam, phish, scrape, crawl, or improperly harvest data;
  • Circumvent security, authorization, access, or fraud-prevention measures;
  • Impersonate another person, vendor, affiliate, company, or Team Backpack representative;
  • Interfere with the operation of the Services;
  • Use automated systems in a way that burdens, copies, exploits, or disrupts the Services;
  • Resell or commercially exploit access to the Services without permission.

We may suspend or terminate access when we reasonably believe these restrictions have been violated.

SECTION 19 — AUTOMATED AGENTS

An automated or semi-automated software agent may not access or interact with the Services in a deceptive manner, impersonate a human, circumvent CAPTCHAs, bypass security controls, conceal its automated nature, or disregard instructions restricting automated access.

We may use technical measures to block or limit automated access.

Authorized search engines, platform integrations, and tools operating with our permission may access the Services subject to applicable instructions and agreements.

SECTION 20 — TERMINATION

We may suspend, restrict, or terminate access to all or part of the Services when reasonably necessary to:

  • Enforce these Terms;
  • Prevent fraud or abuse;
  • Protect customers or vendors;
  • Address legal or security risks;
  • Comply with a payment provider, platform, court, or government request;
  • Discontinue a feature or program.

Termination does not eliminate payment obligations, refund obligations, chargeback responsibilities, indemnity obligations, or other provisions that are intended to survive termination.

Sections concerning intellectual property, vendor responsibility, affiliate responsibility, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution will survive termination.

SECTION 21 — DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the Services and products are provided “as is” and “as available.”

Team Backpack does not guarantee that:

  • The Services will always be uninterrupted, secure, timely, or error-free;
  • Every vendor will continuously participate;
  • Every product will remain available;
  • Livestreams or third-party platforms will operate without interruption;
  • Products will meet every customer’s personal expectations;
  • Every listing or piece of third-party content will be completely accurate.

Except for warranties expressly provided in writing and rights that cannot legally be excluded, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, durability, title, and noninfringement.

Some jurisdictions do not permit certain warranty exclusions, so parts of this section may not apply to you.

SECTION 22 — LIMITATION OF LIABILITY

To the fullest extent permitted by law, Team Backpack and its owners, officers, employees, affiliates, contractors, service providers, licensors, vendors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost data, loss of opportunity, reputational harm, or replacement costs arising from or connected to the Services.

This limitation applies to claims arising from:

  • Use or inability to use the Services;
  • Products purchased through the Services;
  • Vendor conduct or fulfillment;
  • Shipping delays or carrier conduct;
  • Livestreams, auctions, or third-party platforms;
  • Unauthorized access to information;
  • Errors or omissions in content;
  • Affiliate or user conduct.

Where liability cannot legally be excluded, Team Backpack’s liability will be limited to the greatest extent permitted by law.

Nothing in these Terms excludes liability or consumer rights that cannot legally be excluded or limited.

SECTION 23 — INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Team Backpack, Shopify, and our respective owners, affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from third-party claims, losses, liabilities, damages, judgments, and reasonable legal fees arising from:

  1. Your violation of these Terms;
  2. Your unlawful use of the Services;
  3. Your violation of another person’s rights;
  4. Content, products, claims, listings, or materials you submit;
  5. Your activity as a vendor or affiliate;
  6. Your fraud, misconduct, negligence, or intentional wrongdoing.

This section does not require a consumer to indemnify Team Backpack where such an obligation is prohibited by applicable law.

SECTION 24 — SEVERABILITY

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the greatest extent permitted and the unenforceable portion will be severed.

The remaining provisions will continue in full force.

SECTION 25 — WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

These Terms, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, vendor agreements, affiliate terms, promotional terms, and any other policies incorporated by reference, constitute the entire agreement concerning use of the Services.

Separate vendor, affiliate, promotion, or platform terms may control with respect to the specific program or transaction they govern.

SECTION 26 — ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our written permission.

We may assign or transfer these Terms in connection with a restructuring, financing, merger, acquisition, sale of assets, change in control, or transfer of the business, subject to applicable law.

SECTION 27 — GOVERNING LAW

These Terms and any dispute arising from them will be governed by the laws of the state in which Team Backpack maintains its principal place of business, without regard to conflict-of-law principles.

The parties consent to the jurisdiction of the applicable state and federal courts serving that location, except where consumer-protection law requires a different forum or governing law.

Before you scale, replace this section with a specific state and county after confirming the business’s official legal address.

SECTION 28 — HEADINGS

Section headings are included for convenience only and do not affect the interpretation of these Terms.

SECTION 29 — CHANGES TO THESE TERMS

We may update these Terms to reflect operational, legal, regulatory, vendor, affiliate, marketplace, or service changes.

The updated version will be posted on this page with a revised “Last updated” date.

Where legally required, we will provide additional notice of material changes.

Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.
